Vendor agrees to defend, indemnify and hold Company, its customers, employees, successors and assigns, harmless against any claim, action, proceeding, liability, loss, damage, cost or expense, including attorney’s fees, arising in respect of any actual or alleged (a) failure of the items to comply with any applicable specifications or with any express or implied warranties of Vendor hereunder, or (b) infringement of any patent, trademark or copyright by reason of the sale or use of the items delivered. Should any claim, action or proceeding be commenced against Company for damages arising out of or by reason of any of the above causes, Company shall give Vendor prompt written notice thereof.
WARRANTY
Vendor warrants that the items delivered shall be free from any undisclosed encumbrances or charges, shall comply with any applicable specifications, shall be free from defects in materials and workmanship, and shall be merchantable and fit for use for the particular purpose described in this Agreement.
CONFIDENTIALITY
Vendor agrees not disclose to any third party any confidential information furnished or disclosed to Vendor by Company except as reasonably required for the purpose of carrying out its obligations hereunder. Vendor shall immediately return any confidential materials to Company at Company’s request.
ASSIGNMENT
Vendor shall not assign or transfer any of its rights, duties or obligations hereunder without Company’s prior written consent. Such consent shall not relieve Vendor from its obligations hereunder.
WAIVER
Waiver by Company or a breach by Vendor of any provision hereof shall not be deemed a waiver of any other provision hereof nor shall it be construed as a continuing waiver of other breaches of the same or other provisions hereof.
GOVERNING LAW
This Agreement shall be governed by, construed and enforced in accordance with the internal laws of the State of California.

Продавец соглашается защищать, возмещать ущерб и освобождать от ответственности Компанию, ее клиентов, сотрудников, наследников и правопреемников в отношении любых претензий, действий, судебных разбирательств, обязательств, убытков, ущерба, затрат или расходов, включая оплату услуг адвоката, возникающих в результате фактического или предполагаемого (a) несоответствия товара применимым спецификациям или выраженным или подразумеваемым гарантиям Продавца по условиям настоящего Соглашения, или (b) нарушения патента, торговой марки или авторского права в результате продажи или использования поставляемого товара. ОТКАЗ ОТ ПРАВА ТРЕБОВАНИЯ
Отказ Компании от права требования в отношении нарушения Продавцом какого-либо положения настоящего Соглашения не будет считаться отказом от права требования в отношении другого положения настоящего Соглашения и не будет толковаться в качестве постоянного отказа от права требования в отношении нарушения того же самого или других положений настоящего Соглашения.
ПРИМЕНИМОЕ ПРАВО
Настоящее Соглашение регулируется, толкуется и приводится в исполнение в соответствии с внутренним правом штата Калифорния.
English to Russian: Sale and Purchase of Shares
Source text - English 1 Sale and Purchase of the Shares
1.1 On and subject to the terms of this Agreement the Seller and the Local Sellers agree to sell, and the Purchaser agrees to purchase the Shares as detailed in Schedule 1.
1.2 On Closing, the Local Sellers and the Purchaser shall execute such agreements, transfers, conveyances and other documents (subject to the relevant local law and otherwise as may be agreed between the Seller and the Purchaser to implement the transfer of the Shares on Closing (the “Local Transfer Documents” and each, a “Local Transfer Document”). To the extent that the provisions of a Local Transfer Document are inconsistent with or (except to the extent they implement a transfer in accordance with this Agreement) additional to the provisions of this Agreement the provisions of this Agreement shall prevail.
1.3 The Shares shall be sold together with all rights and advantages attaching to them as at Closing (including, without limitation, the right to receive all dividends or distributions declared, made or paid on or after Closing).
1.4 The Purchaser’s purchase of the Shares shall not include any right to the name “XXX” or the “XXX-1” or the other intellectual property (including homepages and Internet solutions) used by the Companies and specified in Schedule 8.
2 Purchase Price
2.1 Amount and Allocation
2.1.1 The purchase price for the purchase of the Shares under this Agreement (the “Purchase Price”) shall be an amount equal to the aggregate of:
(i) SEK [ ] (the “Bid Value”);

(ii) the Net Indebtedness;
plus or minus
(iii) the Capital Employed Adjustment.
2.1.2 The Purchase Price shall be allocated in accordance with Schedule 1 and the Seller and Purchaser shall adopt that allocation for all Tax purposes.

3 Conditions
3.1 Conditions Precedent
The agreement to sell and purchase the Shares contained in Clause 2 is conditional upon satisfaction of the following conditions:
3.1.1 to the extent that the proposed acquisition of the Shares (or any part thereof) and any ancillary arrangements (the “Transaction”) either constitutes (or is deemed to constitute under Article 4(5)) a concentration falling within the scope of Council Regulation (EC) 139/2004 (as amended) (the “Regulation”) or is to be examined by the European Commission as a result of a decision under Article 22(3) of the Regulation:
(i) the European Commission taking a decision (or being deemed to have taken a decision) under Article 6(1)(b) [or, if the Commission has initiated proceedings pursuant to Article 6(1)(c), under Article 8(2)] of the Regulation declaring the Transaction compatible with the common market, without imposing any conditions or obligations that are not on terms reasonably satisfactory to the Seller and the Purchaser; or
(ii) the European Commission taking a decision (or being deemed to have taken a decision) to refer the whole or part of the Transaction to the competent authorities of one or more Member States under Articles 4(4) or 9(3) of the Regulation; and
(a) each such authority taking a decision with equivalent effect to Clause 4.1.1(i) with respect to those parts of the Transaction referred to it; and
(b) the European Commission taking any of the decisions under Clause 4.1.1(i) with respect to any part of the Transaction retained by it.]

3.2 Responsibility for Satisfaction
3.2.1 The Purchaser shall be responsible for the preparation of notification[s] to the Relevant Competition Authorities pursuant to Clause 4.1 and for any costs and expenses incurred in relation to such notification[s]. The Purchaser undertakes to submit such notification[s] as soon as possible and within seven Business Days of the date of this Agreement. The parties shall promptly provide each other with any assistance, information and documentation reasonably required to prepare the notification[s]. A party, which is notified by a Relevant Competition Authority that the conditions in Clause 4.1 may not be satisfied, or that satisfaction may be delayed, shall immediately notify the other party.

1.1 В соответствии с условиями настоящего Соглашения Продавец и Местные продавцы соглашаются продать, а Покупатель соглашается купить Акции, указанные в Приложении №1.
1.2 Для передачи Акций на момент завершения Сделки Местные продавцы и Покупатель обязаны подписать соглашения, акты приема-передачи и прочие документы (в соответствии с применимым местным законодательством), а также любые другие документы по согласованию между Продавцом и Покупателем ("Местные передаточные документы", а по отдельности - "Местный передаточный документ"). В той части, в какой положения Местного передаточного документа не соответствуют условиям настоящего Соглашения или содержат дополнительную информацию (за исключением случаев, когда передача осуществляется в соответствии с настоящим Соглашением), условия настоящего Соглашения имеют преимущественную силу.
1.3 Акции подлежат продаже вместе со всеми правами и привилегиями, имеющимися на момент завершения Сделки (включая, помимо прочего, право на получение всех дивидендов и прочих выплат, объявленных или выплаченных на момент или после завершения Сделки).
1.4 Приобретение Акций Покупателем не включает право на наименования «XXX» и «XXX-1», или прочие объекты интеллектуальной собственности (включая веб-страницы и Интернет-решения), используемые Компаниями и указанные в Приложении №8.
2 Цена покупки
2.1 Сумма и распределение
2.1.1 В соответствии с настоящим Соглашением цена покупки Акций («Цена покупки») включает следующее:

3 Условия
3.1 Предварительные условия

3.1.1 В той части, в какой предполагаемое приобретение Акций (или их части) и дополнительные договоренности («Сделка») являются (или считается, что являются в соответствии с п.4(5)) концентрацией в рамках Регламента Совета (ЕС) № 139/2004 (с поправками) («Регламент»), или подлежат рассмотрению Европейской комиссией в соответствии с решением в рамках п. 22(3) Регламента:
(i) Европейская Комиссия принимает решение (или считается принявшей решение) в соответствии с п. 6(1)(b) [или в соответствии с п. 8(2), если Комиссия начала рассмотрение сделки в соответствии с п. 6(1)(с)] Регламента о соответствии Сделки условиям общего рынка, без установления каких-либо условий или обязательств, не соответствующих условиям, разумно устраивающим Продавца и Покупателя; или
(ii) Европейская Комиссия принимает решение (или считается принявшей решение) о передаче Сделки (полностью или частично) на рассмотрение надлежащим органам одного или нескольких Государств-членов в соответствии с п. 4(4) или п. 9(3) Регламента; и
(a) каждый надлежащий орган принимает решение, соответствующее условиям ст. 4.1.1(i), в отношении переданных на его рассмотрение частей Сделки; и
(b) Европейская Комиссия принимает решение в соответствии со ст. 4.1.1(i) в отношении частей Сделки, оставленных на собственное рассмотрение.]

3.2 Ответственносать за выполнение условий Сделки

Покупатель обязан отправить такое уведомление(я) в максимально короткий срок, в течение семи рабочих дней с даты подписания настоящего Соглашения. Стороны обязаны оказывать друг другу помощь, предоставлять информацию и документы, разумно необходимые для подготовки такого уведомления(ий). Сторона, получившая уведомление от Антимонопольной службы о невыполнении условий ст. 4.1 или о возможной задержке выполнения условий Сделки, обязана незамедлительно уведомить об этом другую сторону.
