"Amendment, Modification, or Termination of Plan.
The President, Chief Financial Officer or the Corporate Vice President of Human Resources of the Company, each acting individually, may amend, modify or terminate the Plan. Certain modifications or amendments of the Plan which the Company deems necessary or appropriate to conform the Plan to, or satisfy the conditions of, any law, governmental regulation or ruling, and to permit the Plan to meet the requirements of the Code may be made retroactively if necessary. Upon termination or discontinuance of the Plan, all ***elections and reductions in compensation*** related to the Plan shall terminate."
