EUROCHEM TRADING GMBH, já qualificada nos autos da recuperação judicial requerida pela FERTILIZANTES HERINGER S/A, por seus advogados, vem, respeitosamente, à presença de Vossa Excelência, manifestar-se sobre as alegações da Recuperanda de fls. 16.310/16.328.
1. - Em sua petição de fls. 16.310/16.328, a Recuperanda impugnou o pedido da EUROCHEM de desconsideração dos votos das credoras URALKALI e URALCHEM na Assembleia Geral de Credores, impugnou o pedido de declaração de nulidade das cláusulas 4.1.2., 5., 5.1. e 6.1. do plano de recuperação judicial e alegou suposto abuso de direito de voto por parte da EUROCHEM.
2. - Em atenção aos princípios do contraditório e da ampla defesa, bem como diante das infundadas acusações feitas pela Recuperanda, a EUROCHEM pede vênia para se manifestar sucintamente a seguir sobre tais questões, demonstrando a improcedência das alegações e pedidos da Recuperanda.
3. - Em relação à desconsideração dos votos das credoras URALKALI e URALCHEM, a Recuperanda não conseguiu sequer negar o conflito de interesses, tentando apenas relativizar a força jurídica da carta de intenções vinculante firmada entre tais empresas para a venda do controle acionário da Recuperanda. 4. - Nesse sentido, embora a Recuperanda se esforce para tentar fazer parecer que o acordo firmado ainda não estaria concluído e que URALKALI e URALCHEM não integrariam os quadros societários da Recuperanda, é fato público e notório que referido negócio é ato jurídico perfeito e acabado que possui meras condições precedentes à sua entrada em vigor, de modo que é questão apenas de tempo para que seja verificado. 5. - Prova disto é que, em 11.12.2019, o jornal Valor Econômico publicou matéria informando que “a aquisição da Fertilizantes Heringer, uma das maiores empresas do segmento no país, pelas empresas russas Uralkali e Uralchem poderá ser fechada ainda este ano” (Doc. nº 1).
6. - A matéria destaca, de forma inequívoca a condição precedente que impede a verificação imediata do negócio: “a compra da companhia, no entanto, está condicionada à homologação do plano de recuperação judicial ”. Logo, é inegável o conflito de interesses da URALKALI e URALCHEM para fins de aprovação do plano de recuperação judicial na Assembleia Geral de Credores. 7. - Em novembro, a Recuperanda e as adquirentes URALCHEM/URALKALI já haviam submetido o ato de concentração para análise do Conselho Administrativo de Defesa Econômica (CADE), solicitando a aprovação do seu acordo comercial (Doc. nº 2). Trata-se do Ato de Concentração nº 08700.005424/2019-01, conforme edital publicado no Diário Oficial de União em 06.12.2019 (Doc. nº 3). 8. - Portanto, ao contrário do que sugere a Recuperanda, a aquisição do seu controle acionário pelas credoras URALKALI e URALCHEM não é apenas uma mera possibilidade remota e futura, mas sim ato jurídico perfeito e acabado, com efetividade virtualmente certa e imediata se o plano de recuperação judicial for aprovado. Nesse sentido, considerando que a condição precedente ao acordo é a aprovação do plano, inegável o conflito de interesses apontado pela EUROCHEM. 9. - Em relação à pretensa abusividade por parte da EUROCHEM e consequente anulação de seu voto ou devolução dos valores recebidos, a companhia só tem a lamentar as levianas acusações da Recuperanda de que a EUROCHEM teria um propósito anticoncorrencial. As inferências feitas nesse sentido já não são novidade, eis que a Recuperanda se utiliza delas de forma emotiva toda vez que o direito não lhe socorre, como mera estratégia para tentar tirar o foco de fatos ou pedidos que lhe são contrários. 10. - A acusação genérica e infundada da Recuperanda é manifestamente improcedente, como se pode constatar pela própria fragilidade das suposições que sustentam a narrativa.
11. - Primeiro, porque os simples fatos de a EUROCHEM ter ajuizado uma execução para cobrar o seu crédito antes desta recuperação judicial, ter agravado da decisão que deferiu o processamento do pedido inicial da Recuperanda e votado pela rejeição do plano de recuperação judicial não podem ser interpretados como atitude concorrencial ou abusiva. Trata-se de regular exercício de direito previsto em lei. 12. - A EUROCHEM não foi nem mesmo a única credora a adotar medidas judiciais contra a Recuperanda, mas sim apenas uma dentre vários credores que seguiram o mesmo caminho. Aliás, ser alvo de ações judiciais de cobrança é situação comum a todo e qualquer devedor e a toda e qualquer empresa em recuperação judicial. 13. - O mesmo pode ser dito em relação à opção da EUROCHEM de insistir para que a Recuperanda apresentasse nos autos todos os documentos relacionados no artigo 51 da Lei nº 11.101/2005 para que o seu pedido de recuperação judicial fosse processado. Além de ser pleito totalmente embasado em lei e, portanto, lícito e fundamentado, outros credores também defenderam essa mesma regularização, inclusive credores que votaram pela aprovação do plano de recuperação judicial, como o Cooperative Rabobank U.A., conforme embargos de declaração de fls. 7.412/7.427 e agravo de instrumento autuado sob o nº 2188064-96.2019.8.26.0000.
14. - Também não há qualquer irregularidade no voto da EUROCHEM. Todos os votos, de todos os credores, foram computados seguindo os parâmetros contidos na relação de credores apresentada pelo I. Administrador Judicial, conforme determina o artigo 39 da Lei nº 11.101/2005.
15. - Ou seja, o crédito da EUROCHEM não é o único que potencialmente demanda regularização, pois há inúmeros credores cujos créditos ainda não estão listados na relação de credores ou estão listados equivocadamente e poderão ser posteriormente modificados, sem que os votos de tais credores sejam invalidados, conforme determina o artigo 39, §2º, da Lei nº 11.101/2005.
16. - Ora, a insurgência da Recuperanda até mesmo causa surpresa, considerando que essa situação – cômputo dos votos pelo valor provisório dos créditos – é própria de toda e qualquer recuperação judicial, pois em todas elas a deliberação da Assembleia Geral de Credores se dá com base em relação de credores ainda provisória, considerando que não há tempo hábil para que o quadro geral de credores seja formado antes da convocação da Assembleia Geral de Credores.
17. - Em demonstração de sua boa-fé, a EUROCHEM esclarece, inclusive, que não se opõe que o seu voto seja computado pelo valor de seu crédito após descontados os valores já recebidos. Entretanto, destaca que eventual decisão nesse sentido pode criar um desequilíbrio, considerando que há diversos outros credores em situação similar à da EUROCHEM, que votaram na Assembleia Geral de Credores pelo valor equivocado de seu crédito, a menor ou maior.
18. - Segundo, porque a pretensa e artificial concorrência entre as empresas que a Recuperanda tenta criar é ilusória.
19. - A EUROCHEM era uma das principais fornecedoras de insumos da Recuperanda, tendo sido peça fundamental no fomento das atividades da Heringer nos últimos anos, com a concessão de vultuosas linhas de crédito.
20. - Tanto é assim que, apenas em 2018, a EUROCHEM concedeu crédito de cerca de USD 22 milhões para que a Recuperanda importasse matérias-primas e produtos necessários para a consecução de suas atividades.
21. - E, embora a dívida da Heringer tenha vencido ainda em 2018, a EUROCHEM aceitou renegociá-la, concedendo um novo prazo para pagamento voluntário por parte da Recuperanda, e somente adotou as medidas judiciais cabíveis para recuperar o seu crédito após todas as tentativas extrajudiciais de recebimento terem sido infrutíferas. 22. - A Recuperanda inclusive entra em contradição ao direcionar as suas acusações somente contra a EUROCHEM, considerando que há diversos outros credores nesta recuperação judicial que possuem o mesmo posicionamento de mercado da EUROCHEM.
23. - Ao submeter o ato de concentração ao CADE, por exemplo, as próprias URALKALI, URALCHEM e Recuperanda reconhecem que “a operação poderia potencialmente envolver sobreposições horizontais limitadas entre as Requerentes nessas quatro segmentações” (vide Doc. nº 2). Ou seja, a situação enfrentada pela Recuperanda em possuir credores que atuam em seu ramo de negócios decorre da própria estrutura do mercado de fertilizantes.
24. - Portanto, o que se conclui é que não há interesse oculto, qualquer motivação anticoncorrencial ou ato de má-fé por parte da EUROCHEM, cuja única pretensão nesta recuperação judicial – como de todo e qualquer credor – está no recebimento do seu crédito, em condições lícitas, paritárias e admissíveis. 25. - A alegação, portanto, é mero contra-ataque da Recuperanda, numa tentativa da Recuperanda de diminuir o índice de reprovação de seu plano, tanto que a sua pretensão foi intitulada de pedido contraproposto e apresentada em resposta ao alerta da EUROCHEM no sentido de que os votos de URALKALI e URALCHEM não poderiam ser computados.
26. - Não é demais pontuar que nunca foi de interesse da EUROCHEM a falência da Recuperanda. Pelo contrário, a recuperação econômico-financeira da Recuperanda interessa à EUROCHEM, pois aumentaria a perspectiva de recuperação do seu crédito, sem ter que se submeter aos dissabores da falência. 27. - Entretanto, a recuperação judicial da Recuperanda não pode ser alcançada às margens da lei e a qualquer custo dos seus credores. Como a Recuperanda apresentou um plano de recuperação judicial com condições insatisfatórias de pagamento e com diversas cláusulas ilegais, os credores não tiveram alternativa senão votar pela sua reprovação.
28. - Ou seja, a culpa pela reprovação do plano de recuperação judicial na Assembleia Geral de Credores e por eventual não homologação por esse M. Juízo é toda da Recuperanda, que:
(a) Insistiu em colocar o plano de recuperação judicial em votação mesmo após ter sido apresentada, por parte de alguns credores, proposta de novo adiamento para continuidade das negociações;
(b) Insistiu em cláusulas e condições de pagamento ilegais – que afrontam texto literal de lei, sumula do E. STJ e deste E. TJSP, ao extinguir as garantias fidejussórias – e outras tantas que não atendiam à expectativa de boa parte dos seus credores, incluindo a maioria daqueles que possuem créditos com garantia real; e
(c) Ainda manteve no plano a cláusula 4.1.2, que prevê tratamento diferenciado aos credores com garantia real2 e, portanto, impossibilita até mesmo a aprovação por cram down se não for declarada nula, conforme dispõe o artigo 58, §2º, da Lei nº11.101/2005.
29. - A verdade é que quem está agindo de maneira reprovável é a Recuperanda, que não instruiu o seu pedido de recuperação judicial com todos os documentos obrigatórios elencados no artigo 51 da Lei nº 11.101/2005, inseriu cláusulas manifestamente ilegais em seu plano de recuperação judicial e distorce o resultado da deliberação feita pelos credores.
30. - Com a devida vênia, para coroar a atuação questionável da Recuperanda, é no mínimo curioso que: (i) a Recuperanda tenha divulgado como fato relevante ao mercado que o seu plano de recuperação judicial foi aprovado em Assembleia Geral de Credores, apesar do resultado da deliberação ter sido justamente pela reprovação (Doc. nº 4); e (ii) a comunicação distorcida em 03.12.2019 resultou em vertiginoso aumento da cotação de suas ações, com aumento de 9,16% somente naquele dia e pouco mais de 60% desde então, conforme informações constantes do website da Recuperanda. 31. - Por fim, em relação às cláusulas ilegais do plano de recuperação judicial, a EUROCHEM reitera integralmente os termos de sua petição de fls. 15.802/15.813, sobretudo considerando que o I. Administrador Judicial também já se manifestou pela nulidade das cláusulas 6.1 e 6.3 do plano, sendo que a nulidade das cláusulas 4.1.2 e 4.1.3 se justifica pelo mesmo fundamento. No mais, o argumento da Recuperanda de que o plano não prevê extinção das garantias outorgadas – mas apenas sua suspensão pelo prazo de cumprimento do plano – encontra evidente obstáculo na lógica, seja porque não é isso que está escrito no plano, seja porque a suspensão para posterior extinção gera o mesmo efeito prático que a imediata extinção. 32. - Já a nulidade da cláusula 5 e 5.1 é patente pelo fato da própria Recuperanda ter admitido que o valor de R$ 9.957.632,08 já foi recebido pela EUROCHEM e não ter questionado que se trata de ato jurídico perfeito e acabado, sob o manto da coisa julgada e, portanto, matéria preclusa.
33. - Portanto, pelos motivos de fato e de direito acima, a EUROCHEM requer: (a) Sejam intimadas as credoras URALKALI e URALCHEM para se manifestarem sobre o conflito de interesses em seus votos, em atenção aos princípios do contraditório e ampla defesa;
(b) Seja concedida vista ao Ministério Público e seja oficiada a Comissão de Valores Mobiliários (CVM) quanto aos fatos narrados no parágrafo 30 acima; (c) Ao final, digne-se Vossa Excelência de desconsiderar os votos das credoras URALKALI e URALCHEM para fins de cômputo e apuração do quórum de deliberação do plano de recuperação judicial e declarar a nulidade das cláusulas 4.1.2., 5., 5.1. e 6.1. do plano de recuperação judicial.

EUROCHEM TRADING GMBH, already qualified in this case file of the judicial recovery requested by FERTILIZANTES HERINGER S / A, by its lawyers, respectfully comes, before Your Excellence, expressing itself about the allegations of the Recovering at Pgs. 16,310 / 16,328.
1. – At Pgs. 16,310 / 16,328 of its petition, the Recovering Party impugned and contested EUROCHEM's request for disregard of the votes of the creditors URALKALI and URALCHEM at the General Assembly of Creditors, challenged the claim for invalidity of clauses 4.1.2., 5., 5.1. and 6.1. recovery plan and alleged abuse of voting rights by EUROCHEM.
2. – According to the principles of the adversarial and the broad defense, as well as the unfounded accusations made by the Recoveree, EUROCHEM has been asked for bow to briefly comment on such issues, demonstrating the unfounded claim and claims of the Recoveree.
3. - Regarding the disregard of the creditors votes, URALKALI and URALCHEM, the Recovering could not even deny the conflict of interest, merely trying to relativize the legal force of the binding letter of intent signed between such companies for the sale of the Recovering shareholding control.
4. – By this way, although the Recoveree strives to believe that the reached agreement is not still concluded and that URALKALI and URALCHEM would not be part of the Recoveree's corporate structure, it is a public and well-known fact that this deal is a perfect and finished legal act that has mere conditions prior to its entry into force, so it is only a matter of time before.
5. - Proof of this is that, on 2019.12.11, the newspaper Valor Econômico published an article stating that "the acquisition of Heringer Fertilizers, one of the largest companies in the segment in the country, by Russian companies Uraikaii and Uraichem could still be closed during this year ' (Doc. nr 1).
6. - The article clearly highlights the precedent condition that precludes immediate verification of the deal: 'the purchase of the company, however, is subject to the approval of the judicial reorganization plan'. Therefore, the conflict of interests of URALKALI and URALCHEM is undeniable. for the purpose of approving the judicial reorganization plan at the General Assembly of Creditors.
7. - In November, the Recoveree and the URALCHEM / URALKALI acquirers had submitted the merger for consideration by the Administrative Council for Economic Defense (CADE), requesting the approval of their trade agreement (Doc. 2). This is the Concentration Act Nr. 08700.005424 / 2019-01, according to the notice published in the Federal Official Gazette on 2019.06.12 (Doc. nr 3).
8. - Therefore, contrary to what Recovering suggests, the acquisition of its shareholding control by the lenders URALKALI and URALCHEM is not merely a remote and future possibility, but a perfect and finished legal act, with virtually certain and immediate effectiveness if the recovery plan court is approved. Therefore, considering that the condition precedent to the agreement is the approval of the plan, the conflict of interest pointed out by EUROCHEM is undeniable.
- With regard to the alleged abuse by EUROCHEM and the consequent cancellation of its vote or return of the amounts received, the company has only to regret the reckless accusations of the Recoverer that EUROCHEM had an anti-competitive purpose. The inferences made in this sense are no longer new, as the Recoveree uses them emotionally whenever the law does not help, as a mere strategy to try to take the focus of facts or requests that are contrary.
10. - Generic and unfounded accusation made by the Recovering is manifestly unfounded, as it can be seen from the very fragility of the assumptions that support the narrative.
11. - Firstly, due to the mere fact that EUROCHEM filed an executive proccess to recover its credit before this judicial recovery, which had aggravated the decision, granting the applicant's initial claim and voted to reject the judicial recovery plan cannot be interpreted as a competitive attitude. or abusive. This is to regulate the exercise of law.
12. - EUROCHEM was not the only creditor to take legal action against the Recoverer, but only one of the several creditors who followed this direction. In fact, being the subject of lawsuits for recovery is common to any debtor and any company in judicial recovery.
13. - The same can be said about EUROCHEM's option to insist that the Recoveree submit in the file all the documents listed in Article 51 of Law Nr. 11,101 / 2005 so that its request for judicial recovery could be processed. Apart from this, to be fully grounded in law and, therefore, lawful and well founded, other creditors also defended the same regularization, including creditors who voted for the approval of the judicial recovery plan, such as Cooperative Rabobank U.A, pursuant to Declarative embargoes from pgs. 7,412 / 7,427 and an interlocutory filled under the number 2188064-96.2019.8.26.0000.
14. - There is also no irregularity in EUROCHEM's vote. All creditors votes were computed following the parameters contained in the creditors list presented by the I. Judicial Administrator, as determined by Article 39 of Law Nr. 11,101 / 2005.
15. - So, EUROCHEM credit is not the only one that potentially demands settlement, as there are numerous creditors whose credits are not still listed in the creditors list or are mistakenly listed and may be subsequently modified without the votes of such creditors being invalidated, as determined by article 39, paragraph 2, of Law 11,101 / 2005 .
16. - So, the Insurgency of the Recoveree is even surprising, considering that this situation - counting the votes for the provisional value of the credits - is typical of any judicial recovery, since in all of them the deliberation of the General Assembly of Creditors is based on creditors list, which is still provisional, considering that there is not enough time for the general framework of creditors to be formed before the convening of the General Meeting of Creditors.
17. – As an evidence of its good faith, EUROCHEM clarifies that it does not object to its vote being counted for the amount of its credit after deducting the amounts already received. However, it points out that any decision to do so might create an imbalance, considering that there are several other creditors in a similar situation to EUROCHEM, who voted in the General Assembly of Creditors for the wrong amount of their credit, smaller or larger.
18. - Secondly, because the alleged artificial concurrence between the companies that Recovering tries to create is illusory.
19. - EUROCHEM was one of Recoverer's main suppliers of inputs, which were having been a key to promote Heringer's activities in recent years, with the granting of large lines of credit.
20. - So, only in 2018, EUROCHEM granted credit of about USD 22 million to the Recoverer to import the raw materials and products needed to carry out its activities.
21. – And, although Heringer's debt has still matured in 2018, EUROCHEM agreed to renegotiate it, granting a new term for the voluntary repayment deal, and only took reasonable steps to recover its credit after all extrajudicial attempts to repay it. The receipt was unsuccessful.
22. - The Recoverer even contradicts itself by directing its accusations only against EUROCHEM, considering that there are other creditors in this judicial recovery who have the same market position as EUROCHEM.
23. - By submitting the cpncentration act to CADE, for example, URALKALI, URALCHEM and Recoverer has recognised by themselves that "the operation could potentially involve limited horizontal overlaps between the Claimants in these four segments" (see Doc. nr 2). That is, the situation faced by Recoverer in having creditors that operate in its business tems from the structure of the fertilizer market.
24. - Therefore, it can be concluded that there is no hidden interest, any anti-competitive motive or act of bad faith by the part of EUROCHEM, whose sole claim in this judicial recovery - as of any creditor - is to receive its credit, under conditions lawful, equal and permissible.
25. - Therefore, allegations are merely a counter-attack by the Recoveree, as an attempt created by the Recoveree to decrease its plan's disapproval rate, so much so that its claim was called a counter-proposal and was made in response to the warning from EUROCHEM that URALKALI and URALCHEM votes could not be counted.
26. - It is not too much to point out that the bankruptcy of the Recoveree had never been in EUROCHEM's interest. In the opposite, the economic and financial recovery of the Recoverer is of interest to EUROCHEM, as it would increase the prospect of recovering its credit without having to submit to bankruptcy.
27. - Meanwhile, the judicial recovery of the Recoveree cannot be achieved within the law and at any cost of its creditors. As the Recoveree presented a bankruptcy plan with unsatisfactory payment conditions and several illegal clauses, creditors had no choice and the had to vote for their disapproval.
28. – That is, blame due by the failure of the legal plan of Recover defined at general Assembly of Creditors and due to the fact of non-homologation might not be taken by this specific Judgement, is all recovering proccess that:
(a) Insisted on putting the judicial reorganization plan to a vote even after some creditors had submitted a proposal to postphone further negotiations;
(b) Insisted on unlawful clauses and payment conditions - which are contrary to the literal text of the law, summed up by E. STJ and E. TJSP, by extinguishing the collateral - and many others that did not meet the expectations of most of its creditors, including most of those who have collateral with collateral; and
(c) Still kept on in the plan clause 4.1.2, which provides for differential treatment to creditors with collateral and, therefore, even precludes approval by cram down if it is not declared null, as provided for in Article 58, paragraph 2, of Law Nr. 11,101 / 2005.
29. - The truth is that who is acting disapprovingly is the Recovering, who did not instruct her request for judicial recovery with all the mandatory documents listed in article 51 of Law Nr. 11.101 / 2005, inserted manifestly illegal clauses in her judicial recovery plan. and distorts the outcome of the decision made by the creditors.
30. - With due respect, to crown the questionable performance of the Recovering, it is at least curious that: (i) the Recovering has disclosed as material fact to the market that its judicial recovery plan was approved at the General Meeting of Creditors, despite the result of the recovery. Deliberation was precisely due to failure (Doc. Nr. 4); and (ii) the distorted communication on 2019.03.12 resulted in a steep increase in the price of its shares, with an increase of 9.16% in that day and a little over 60% since then, according to information provided by the Recovering website.
31. - Finally, in relation to the illegal clauses of the judicial reorganization plan, EUROCHEM fully reiterates the terms of its petition of pgs. 15.802 / 15.813, especially considering that the I. Judicial Administrator has also manifested itself by the nullity of clauses 6.1 and 6.3 of the plan, and the nullity of clauses 4.1.2 and 4.1.3 is justified by the same ground. Moreover, the Recovering Party's argue that the plan does not provide for the termination of the guarantees granted - but only their suspension for the period of compliance with the plan - clearly stands in the way of logic, either because that is not what is written in the plan, or because the suspension for later extinction has the same practical effect as immediate extinction.
The nullity of clauses 5 and 5.1 is evident due the fact that the Recovering woman admitted that the amount of R $ 9,957,632.08 has already been received by EUROCHEM and has not questioned that this is a perfect and finished legal act under the cloak of the res judicata and, therefore, precluded matter.
33. – Therefore, due to evidence facts and legal reasons mentioned bellow, EUROCHEM requests that:
(a) Creditors URALKALI and URALCHEM are summoned to speak out about the conflict of interest in their vows, in consideration of the principles of contradictory and broad defense;
(b) The Public Prosecution Service is granted a view and the Securities Commission (CVM) is officiated as to the facts narrated in paragraph 30 above;
(c) Finally, you should disregard Your Excellence the votes of the creditors URALKALI and URALCHEM for the purpose of calculating and determining the quorum for resolution of the judicial reorganization plan and declare the nullity of clauses 4.1.2., 5., 5.1. and 6.1. of the judicial reorganization plan.
